1. Definitions

In these Terms and Conditions, the following terms shall have the meanings set forth below:

  • "Service" or "Services" refers to the AI integration consulting and technical implementation services provided by Cortiqo.
  • "Client" or "You" refers to the individual or organization engaging our services or using our website.
  • "We," "Us," or "Our" refers to Cortiqo, a business registered and operating in Thailand.
  • "Agreement" refers to these Terms and Conditions along with any separate service agreements or proposals.
  • "Deliverables" means the specific outputs described in project proposals or service agreements.

2. Acceptance of Terms

By accessing our website, submitting inquiries, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services or website.

These Terms and Conditions constitute a legally binding agreement between you and Cortiqo. You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services.

3. Service Description

Cortiqo provides professional consulting services related to artificial intelligence integration in business operations. Our services include but are not limited to:

  • Intelligent Process Mapping and workflow analysis
  • Conversational AI design and deployment
  • Decision Intelligence Platform development and integration
  • Technical training and documentation
  • Post-implementation support and optimization

Specific services, deliverables, timelines, and pricing are detailed in individual project proposals and service agreements. The availability of services may vary based on organizational requirements and technical feasibility.

4. Service Engagement Process

Engagement of our services typically follows this process:

  1. Initial consultation to discuss requirements and assess project fit
  2. Provision of detailed proposal including scope, timeline, and pricing
  3. Formal agreement execution upon acceptance of proposal
  4. Project initiation and delivery according to agreed specifications
  5. Support period as specified in service agreement

5. Client Responsibilities

Clients engaging our services agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant reasonable access to facilities, systems, and personnel as required
  • Respond to information requests and review deliverables within agreed timeframes
  • Ensure that necessary technical infrastructure is available as specified
  • Designate appropriate personnel to collaborate with our team
  • Comply with all applicable laws and regulations regarding data handling

6. Payment Terms

Payment terms are specified in individual service agreements and typically include:

  • Service fees are quoted in Thai Baht (฿) unless otherwise agreed
  • Payment schedules are established based on project milestones or phases
  • Invoices are due within 30 days unless otherwise specified
  • Late payments may incur interest charges as permitted by Thai law
  • Services may be suspended for non-payment after appropriate notice

All fees are exclusive of applicable taxes, which shall be added to invoices as required by Thai tax regulations.

7. Intellectual Property Rights

Our Proprietary Materials

Cortiqo retains all intellectual property rights to our methodologies, tools, frameworks, and pre-existing materials used in service delivery. These materials remain our property and may be used for other clients.

Client-Specific Deliverables

Upon full payment, clients receive ownership of custom deliverables created specifically for their project, subject to our retention of underlying methodologies and tools. Specific intellectual property terms are detailed in service agreements.

Client Data and Confidential Information

Clients retain all rights to their business data, proprietary information, and materials provided to us. We maintain strict confidentiality of client information as outlined in separate confidentiality agreements.

8. Disclaimers and Limitations

Service Provision

Our services are provided based on professional judgment and industry standards, but we do not guarantee specific business outcomes or results. AI systems involve inherent uncertainties, and performance may vary based on data quality, user adoption, and operational context.

No Professional Advice

Our services constitute technical consulting and implementation support. We do not provide legal, financial, or medical advice. Clients should consult appropriate licensed professionals for such matters.

Third-Party Services

Implementation may involve third-party technologies or platforms. We are not responsible for the performance, availability, or terms of service of third-party providers, though we endeavor to select reliable partners.

9. Limitation of Liability

To the maximum extent permitted by Thai law:

  • Our total liability for any claim arising from services shall not exceed the fees paid for the specific service engagement
  • We are not liable for indirect, consequential, special, or punitive damages
  • We are not liable for losses arising from client's failure to implement recommendations, use of deliverables contrary to guidance, or modification of systems after handoff
  • Liability limitations do not apply to damages caused by our willful misconduct or gross negligence

10. Indemnification

Clients agree to indemnify and hold Cortiqo harmless from claims, damages, or expenses arising from: misuse of deliverables, violation of applicable laws or regulations in client's implementation, infringement of third-party rights by client-provided materials, or client's breach of these Terms and Conditions.

11. Termination

By Either Party

Either party may terminate a service engagement with written notice under terms specified in the service agreement. Termination does not relieve clients of payment obligations for services rendered prior to termination date.

For Cause

We may immediately terminate services if the client: fails to make payments when due, materially breaches these Terms, engages in conduct that damages our reputation, or violates applicable laws.

Effect of Termination

Upon termination, we will provide deliverables completed to date and return client materials. Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.

12. Dispute Resolution

Governing Law

These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from services or these terms shall be subject to the exclusive jurisdiction of Thai courts.

Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith negotiation to resolve disputes. Either party may request a meeting to discuss concerns and explore mutually acceptable solutions.

Mediation

If informal negotiation fails, parties may agree to mediation by a neutral third party before pursuing litigation. Mediation costs shall be shared equally unless otherwise agreed.

13. General Provisions

Entire Agreement

These Terms and Conditions, together with any service agreements and proposals, constitute the entire agreement between parties regarding services and supersede all prior communications and understandings.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them enforceable.

Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other right. Waivers must be in writing to be effective.

Assignment

Clients may not assign rights or obligations under these Terms without our written consent. We may assign our rights and obligations with notice to clients.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, labor disputes, or communications failures.

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes become effective upon posting to our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance. Material changes affecting existing service agreements will be communicated directly to affected clients.
